This Agreement is made between 本协议由如下当事方签订：

China International Water & Electric Corporation (CWE) - Branch Office in the Philippines, a branch and subsidiary of CWE (Beijing, China) authorized to do business in the Philippines.

中国国际水电公司（CWE）菲律宾分公司，系该公司（中国北京）的分公司和子公司，授权在菲律宾开展业务。

BBR Philippines Corporation, duly registered and existing under the laws of the Republic of the Philippines with office address at Suite 502, 7 East Capitol Building No. 7 East Capitol Drive, Brgy. Kapitolyo, Pasig City, represented by its Manager Mr. Rey C.D. Singh, hereinafter referred to as BBR.

WHEREAS CWE has been awarded the Contract for the Restoration of Mancatian Bridge including Access Road along the Angeles-Porac Road, Pinatubo Hazard Urgent Mitigation Project-Phase II, Contract Package No.7 by the Philippine government, hereinafter referred to as the “Project”.

鉴于中国国际水电公司已被授予修复曼卡提安桥的合同，包括沿Angeles-Porac公路的通道，Pinatubo灾害紧急缓解项目-第二阶段，菲律宾政府第7号合同包(下称“项目”)。

NOW THEREFORE, the Parties hereto agree as follows: 双方同意如下：

1. OBLIGATIONS 各方义务

To be provided by BBR: 由中国国际水电公司提供：

Preparation of Shop Drawings for Approval by the Consultant and the owner.

准备制作车间图纸以供咨询工程师和业主批准。

Submit Method Statement for Fabrication of AASHTO Girder, Tendon Extension Calculation, or other documents required by CWE or the Consultant.

提交制造AASHTO梁，张拉计算或中国国际水电公司或咨询工程师要求的其他文件的方法陈述。

Fabrication of 36 Pieces of AASHTO Prestressed Concrete Girders, Type IV-B (L=29.65 m.) including but not limited to the provision of the all necessary Supervision, Labor, Materials and Equipments for the Fabrication Works.

制造36件AASHTO预应力混凝土梁，型号为IV-B（L = 29.65米），包括但不限于为制造工程提供所有必要的监理、劳务、材料和设备。

Delivery of the 36 Pieces of AASHTO Prestressed Concrete Girders, Type IV-B (L=29.65 m.) through a Access Road to a Truck-Accessible location on the Project Site.

将36件AASHTO预应力混凝土梁，IV-B型（L = 29.65米）通过通道运送到项目现场的卡车可达位置。

All necessary Permits, Licenses, Clearances, etc. required by Law to be provided by CWE:

Provision of suitable Access to the Unloading Site including the clearing of any Obstructions.

Unloading of the AASHTO Prestressed Concrete Girders from the Delivery Trailers/Truck.

Installation of the AASHTO Prestressed Concrete Girders including the provision of the necessary Installation Accessories (e.g. Bearing Pads, Bearing Sleeves, etc.).

2. TOTAL PRICE 总价

CWE shall pay BBR the Total Price of Eleven Million Two Hundred Thirty Two Thousand pesos (PHP 11,232,000.00) for the Fabrication and Delivery of the 36 Pieces of AASHTO Prestressed Concrete Girders, Type IV-B (L=29.65m.)The Unit Price for each Prestressed Concrete Girders is Three Hundred Twelve Thousand Pesos (PHP 312,000.00).

中国国际水电公司将向支付11,232,000.00比索的总价，用于制造和交付36件AASHTO预应力混凝土梁，型号为IV-B（L = 29.65m。）每个预应力混凝土梁的单价为312,000.00比索。

It is expressly understood and agreed, the Unit Prices are in full satisfaction of all its costs incurred by BBR for supervision, survey, laboratory and field test, materials, equipment, labor and any other personnel it will employ, tools, temporary facilities and consumables necessary, but not limited, for the completion of the fabrication of girders, including contingencies, overtime of extra shifting, project insurance, taxes of every kind including the VAT, withholding tax and nature that may be assessed against BBR under this contract, inclusive of all fees, charges, licenses, its administrative expenses and overhead, its profit and generally any and all other attendant fees.

各方同意，单位价格完全满足BBR对监理、勘察、实验室和现场测试、材料，设备、劳务及其将雇用的任何其他人员，工具，临时设施和消耗品所产生的所有费用。但不限于完成大梁的制造，包括意外事故、加班、项目保险、各种税收，包括增值税、预扣税和BBR根据本合同据评估的性质，包括所有费用、收费、许可证、管理费用和间接费用、利润以及一般任何和所有其他附带费用。

3. CONDITIONS OF PAYMENT 付款条件

a. Fifteen Percent (15%) Down payment payable upon signing of the Contract with acceptable performance bond provided by BBR.

签署合同时，应以BBR提供的可接受履约保证金支付15％的首付款（15％）。

b. Monthly Progress Payment subject to be made in accordance with the Valuation of the Work Done, with all duly supporting documents certified by the Consultant Engineer.Fabricated Girders have a corresponding Seventy Percent (70%) Accomplishment Value while the Delivery of the Girders have a corresponding Thirty Percent (30%) Accomplishment Value.Ten percent (10%) of amount of monthly progress billing shall be deducted as retention money of this contract.

每月进度付款根据工作估价进行，所有正式支持文件均由咨询工程师工程师认证。制造的大梁具有相应的百分之七十（70％）的成就值，而大梁的交付具有相应的百分之三十（30％）的成就值。月度进度计费金额的百分之十（10％）应扣除为本合同的保留金。

c. The Ten Percent (10%) Retention Money will be released Three (3) Months after the Delivery of the last Prestressed Concrete Girders, Prior to the release of the Retention Money, a suitable Guarantee Bond will be submitted by BBR to CWE.

4. TIME SCHEDULE 工期计划

Fabricated girders shall be taken good care of in BBR’s plant (free of charge) and be delivered to the project jobsite for installation according to the schedule of CWE for delivery. The delivery of the Prestressed Concrete Girders should be completed by February 20, 2004. Because of the urgency and importance of this project, BBR shall strictly follow the schedule of production and be responsible for any delays due to the failure of executing this contract except for force majeure.

装配式梁应在BBR的工厂中得到妥善的保养(免费)，并按照CWE的计划交付到工程工地进行安装。预应力混凝土梁的交付应在2004年2月20日前完成。由于本项目的紧迫性和重要性，除不可抗力外，BBR应严格遵守生产计划，并对因未能执行本合同而造成的任何延误负责。

5. QUALITY REQUIREMENTS 质量要求

(1) BBR will be responsible of performing fabrication of the Girders, concrete design mix in accordance with the requirements from the Approved Shop Drawings and relevant technical specifications from DPWH (Department of Public Works and Highways of Republic of the Philippines) and standards as in force in Philippines and shall submit it for approval. Having obtained the approval from both the Contractor and the Project Consultant to the Design Mix, BBR can use it to produce concrete for the Works mentioned above. For the minimum requirements to the Concrete Design Mix, please see the approved shop drawings and technical specifications.

BBR将负责进行大梁，混凝土设计组合的制作，按照批准的制作车间图纸和DPWH（菲律宾共和国公共工程和高速公路部门）的相关技术规范和菲律宾现行标准的要求并提交批准。获得承包商和设计组合项目咨询工程师的批准后，BBR可以使用批准的制作车间图纸为上述工程生产混凝土。有关混凝土设计组合的最低要求，请参阅批准的车间图纸和技术规格。

(2) All materials used for this purpose, such as reinforcing steel bars, pre-stressing strands, cement, aggregates, setting retarder, additives and admixtures, etc., to be used throughout the Works shall comply with the relevant specifications and standards made by DPWH, and shall satisfy the requirements shown in the approved shop drawings. All the relevant certificates and information inclusive of Certificate of Conformity, Test Report and other information, which can demonstrate the eligibilities of the materials, shall, in the opinions of the Contractor and the Consultant, be submitted to the Contractor and the Consultant prior to the use of the materials.

6. WARRANTY 质量保修

BBR will give a one (1) Year Warranty for the Prestressed Concrete Girders from the Delivery Date of the last Prestressed Concrete Girder.Within this Period, any defects in the Prestressed Concrete Girders that may be observed and which are due to the negligence of BBR will be rectified by BBR at its own expense.

BBR将从最后一个预应力混凝土梁的交付日期起对预应力混凝土梁进行一（1）年的保修。在此期间内，由于BBR的疏忽而导致的预应力混凝土梁的任何缺陷将由BBR保修并承担费用。

7. LOCATION OF DELIVERY 交付地点

Project Site, Brgy.Pasig, Porac, Pampanga 项目现场

8. TERMINATION终止合同

If BBR fails to fulfill its Obligation described in Clause 1, 2, 3 ,4 and 5, CWE may give notice to BBR to perform its Obligations within a specified reasonable time.If BBR fails to comply with the mentioned notice, CWE shall be entitled to terminate the Contract .

如果BBR未能履行第1,2,3,4和5条所述的义务，CWE可以通知BBR在指定的合理时间内履行其义务。如果BBR未能遵守上述通知，CWE有权终止合同。

If CWE fails to fulfill its Obligation described in Clauses 1, 2 and 3, BBR may give notice to CWE to perform its Obligations within a specified reasonable time.If CWE fails to comply with the mentioned notice, BBR shall be entitled to terminate the Contract.

如果CWE未能履行第1,2和3条所述的义务，BBR可以在规定的合理时间内通知CWE履行其义务。如果CWE未能遵守上述通知，BBR有权终止合同。

9. OTHER MATTERS 其他事项

(l) BBR shall submit, within 3 days of signing the contract, a Performance Bond issued by a reputable Bank/Surety Corporation with the amount equivalent to 30% of the contract price. The Performance Bond shall be returned to BBR within one week after delivery of the last Prestressed Concrete Girder without any Quality Problem.

BBR应在签订合同后3天内提交由信誉良好的银行 / 担保公司发行的履约保函，金额相当于合同价格的30％。如无质量问题，履约保函应在交付最后一个预应力混凝土梁后一周内退回BBR。

(2) In the event of accidents occurred during the operation of the girder due to structural problems and disqualified materials for fabrication, BBR shall be responsible for consequences and compensate for CWE’s all relevant losses.

如果由于结构问题和不合格的制造材料在梁运行期间发生事故，BBR应对后果承担责任并队CWE的所有相关损失予以赔偿。

(3) Compensation for delay: If BBR, for any reason, fails to complete any mentioned work or has any delay, he should pay to CWE PHP2000.00 (Say Two Thousand Pesos Only) per day as liquidated damages for such default. CWE can deduct such damages from any money due to BBR. Such compensation for the delay shall not exempt BBR from his responsibility under the Contract.

延迟交付赔偿：如果BBR由于任何原因未能完成任何上诉工程或有任何延迟，应该每天支付CWE PHP2000.00（仅限两千比索）作为违约的违约赔偿金。CWE可以从BBR的任何款项中扣除此类损失。对延迟的该项赔偿不免除BBR在合同下的责任。

IN WITNESS WHEREOF the Parties hereto have executed and signed this Agreement on the 11th day of November 2003.
