24. 履约审核 REVIEW AND VERIFICATION OF CONTRACT PERFORMANCE
双方应在本协议生效后尽快各委派一名代表按下文约定审核仓储与物流服务的履行情况。
The two parties shall appoint representatives for each as soon as possible to verify the fulfillment of warehousing and logistics services after the date of entry into force of agreement.
上述代表将定期或最多每季度不超过一次对乙方在上一季度提供仓储与物流服务的情况进行审核。
The representatives above-mentioned will review the situation of warehousing and logistics services of last quarter or at most once a quarter provided by Party B.
在本协议的有效期内，乙方必须对其成本和仓储与物流服务的履行情况保存精确、单独的记录（“合同记录”）。在甲方合理提前通知的情况下，乙方应根据甲方的要求在正常的工作时间内于乙方办公场所提供包括合同记录的帐簿和财务记录供甲方或其代表审查。甲方有权复制相关的合同记录。
Within the validity of agreement, Party B must make accurate and separate records ( "contract record ") for their costs and the performance of warehousing and logistics services. In conditions of reasonable advance notice from Party A, Party B shall provide the account book of "contract record" and financial record for Party A or their representatives to check, based on the requirements of Party A, in normal working hours and in Party Bs office place. Party A has right to copy the "contract record" related.
乙方必须在相关的仓储与物流服务履行完毕后的7年内或在本协议的有效期内（以先到之日为准）自费保存相关的合同记录。
Party B must keep the "contract record" related at own expense within 7 years after fulfilment of warehousing and logistics services or within the validity of agreement (the day coming first prevails)
25. 仓库管理系统 WAREHOUSE ADDRESS AND WAREHOUSING SYSTEM
The designated warehouse personal from Party B shall be responsible for recording daily business affairs regarding to party A’s goods on hand copy and record data with computer. Party B shall provide the current warehouse state to Party A via e-mail on weekly and monthly basis.
乙方的库房专员将甲方货物的日常出入库情况记入在案并录入到电脑中存档；并将库房内货物的最新状态以周报、月报的形式MAIL到甲方。
Party B shall provide work order for each request received from Party A. Each work order shall include detailed delivery status. In addition, the entire related information should be kept in MIS system as document files, this system shall be written by LAN program.
乙方对甲方每次委托的业务都开具工作单，记录货物运输的详细情况。并将所有工作单录入的信息，通过LAN上的MIS系统保存到服务器上，以文本文件的形式保存。
Party B should provide monthly report to Party A with details about each commodity that stored in the leased warehouse and the list of office supplies that used by Party Bs staff. The report shall be accurate and authentic. If Party A representative wish to audit records, Party B shall provide records generated from the previous day.
乙方在每月向甲方提供一份货物库存明细和行政品发放明细，做到帐实相符；如甲方人员需随时查看，乙方应提供前一天的帐目明细。
乙方可根据双方约定，将规定货物分批分次入、出库。但须在每次入、出库前用甲方规定的形式提前通知甲方，并配合甲方办理好入、出库登记手续。
Party B may, according to the agreement between the two parties, store or take out the goods in different batches. However, Party B shall notify Party A in advance before doing so through the means agreed by the two parties, and assist Party A to go through the registration procedure for the in-coming/out-going goods.
出库方式一般为乙方自提，亦可委托甲方代办运输。
Generally, Party B shall take out the goods in person. In addition, Party B may entrust Party A to transport the goods on behalf of Party B.
乙方提取仓储物须凭甲方签发的仓单连同存货证明（事前约定方式）和提货人的身份证方可提货，仓单需甲方签字盖章认可方可。
In case Party B needs to take out the goods, Party B shall provide the warehouse receipt 签发issued and signed by Party A and the inventory certificate (in the manner agreed by both parties in advance) and the ID card of the person to take out the goods. The said warehouse receipt shall have the signature and the seal of Party A.
26. 货物出入库流程 OUTDELIVERY PROCESS
Both parties shall conduct inspection and quality control activities currently when the goods get into warehouse. Party A should send an authorization notice to Party B for inspection of their goods when Party A is absent. In this case, Party B will not be responsible for any quality problems of the goods. Party B shall prepare a master list after goods are stored in the warehouse, this master list shall be signed by Party B and faxed to Party A in a timely manner.
货物进入乙方仓库时，由甲方人员与乙方库管人员同时验货清点入库；或委托乙方库管人员代替甲方人员对货物进行清点及办理入库手续，货物的质量问题由甲方负责。入库后乙方应为甲方开具入库清单，并签名后传真至甲方。
The goods stored in warehouse shall be released to the authorized personnel only with signed documents by designated Party A personnel. Party B’s representative has right to refuse any unauthorized requests of storage/release activities from Party A. 甲方货物需要出入库时，乙方凭甲方指定人员手书签字方可办理，其他甲方人员均无权要求出入库。
Every need to be signed by authorized personal of Party B and designated pick-up personnel. Every < Receipt > need to be signed by Party B representative and the designated delivery personnel. These forms are official records and shall be treated as part of this agreement. It is both parties responsibility to keep an original signed copy into their records.
《出库单》需经乙方和提货方签字, 《入库单》需经乙方和送货方签字，该记录为合同的有效组成部分，当事人双方各保存一份。
It is necessary for Party A to negotiate with Party B immediately when a work request already sent to Party B, or the Agreement is expired but the process is delayed because of Party A (including pick-up personnel). Upon agreed by Party B, Party A should receive a permission to continue to use the warehouse. The method of payment should be referred to Section 6 of this Agreement.
甲方已通知出库或合同期已到，由于甲方（含提货人）的原因致使货物不能如期出库，应立即与乙方协商，在乙方同意的情况下，甲方可继续使用乙方仓库，计费方法参照本合同第六条。
甲方应根据乙方负责人提出的“入库通知单”（ □正本 □邮件，请勾选）在入库前进行验收。
Party A shall check out the goods before the goods enter the warehouse based on the “Warehouse Entry Notice” (□Original □E-mail, please click) submitted by director of Party B.
甲方不负责货物内在质量及品质方面的验收，货物验收的内容为：
Party A shall not be responsible for the checking on interior quality of the goods. The contents of goods checking are as follows:
货物的品名、规格、数量、重量是否与乙方所述相符，如有不符，以验收结果为准。
Whether the name, specification, quantity, and weight of the goods are in consistent with what Party B’s description, in case of any inconsistent, the checking result shall be prevailed.
货物的外包装是否完好。Whether the outer package of the goods is intact.
甲方验收货物时，如发现货物外包装受损或货物受损或数量、品名、规格等异常问题，现场与乙方送货司机确认，并通知乙方确认异常及处理方式。
In case that the outer packages of the goods are damaged or goods are damaged or the quantity, name and specifications of the goods are abnormal when checking, Party A shall check with the delivery driver of Party B on site and inform Party B to confirmthe abnormalities and the solution.
